Acceptance of the Terms of Use

These Terms of Use are a binding agreement between you and Pecu Novus Blockchain Network (“we” or “us”). They govern your access to and use of our websites, including pecunovus.com and pecunovus.net (collectively referred to as the “Websites” and individually as a “Website”), as well as any content, functionality, and services available through these Websites. This agreement applies whether you are visiting as a guest or a registered user.

In addition, you may use various services offered through our Websites, such as decentralized applications, cryptocurrency wallets, and web3 development tools (collectively known as the “Tools” and together with the Websites, the “Services”).

Please review the Terms of Use carefully before using any of our Services. By accessing the Website or Tools, or by clicking to accept or agree to the Terms of Use when this option is presented, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Use and our Privacy Policy, which can be found at pecunovus.com/privacy and is incorporated here by reference. If you do not agree to these Terms of Use or the Privacy Policy, you should not use the Website or Tools.

Please note the following:

• No Facilitation of Digital Asset Transactions: The Website does not facilitate blockchain-based digital asset transactions. They only provide access to Tools that allow users to view and interact locally with code relevant to blockchain networks. We do not guarantee the accuracy, completeness, or usefulness of any information presented on the Websites or any code provided by users and disclaim any liability regarding the same.

• No Custody of Assets: Neither we nor our service providers hold custody of your assets or have access to your private key. We cannot initiate transfers of digital assets or access your digital assets in any way.

• No Broker or Advisor Role: We and our service providers are not brokers, intermediaries, agents, advisors, or custodians. We do not have a fiduciary relationship or obligation to you regarding any decisions or actions you take while using your wallet to interact with blockchain protocols.

• Responsibility for Your Actions: We and our service providers are not responsible for any activities you engage in using the Services or other blockchain technologies. You acknowledge and accept the risks associated with participating in decentralized protocols on blockchain networks.

• No Responsibility for Tools: For clarity, we do not provide, and are not responsible for, the Tools.

Additional terms of use may apply to Services that you operate locally (“Third Party Terms”). If applicable, it is your responsibility to review, understand, and comply with these Third Party Terms.

The Websites and Tools are intended for users who are eighteen (18) years of age or older. By accessing or using the Websites and Tools, you affirm that you are of legal age to enter into a binding contract with us and meet all eligibility requirements. Additionally, you confirm that you are not a citizen, resident, or member of any jurisdiction subject to economic sanctions, or where your use of the Websites or Tools would be illegal or violate any applicable laws. You also agree that your use of the Websites and Tools will comply with all relevant laws and regulations and that you will not use them to conduct, promote, or facilitate any illegal activities. You acknowledge that the Websites provide access to Tools built on decentralized blockchain protocols (including the Pecu Novus Blockchain Network) and that:

• We have no control over the Tools, associated smart contracts, or blockchain protocols.

• Any interaction with the Tools is a locally managed instance by you, not operated by us.

We and our service providers reserve the right to modify or withdraw any part of the Websites or Tools, or related materials, at our sole discretion and without notice. We will not be liable if the Websites or Tools are unavailable at any time or for any period. Access to some or all parts of the Websites and Tools may be restricted, including for registered users.

You are responsible for:

• Making all arrangements necessary to access the Websites and Tools.

• Ensuring that all individuals who access the Websites or Tools through your internet connection, wallet group, or User Contributions are aware of and comply with these Terms of Use.

To access the Websites and Tools, you may need to provide registration details or other information. It is essential that all information you provide is accurate, current, complete, and authorized. You agree that any information provided during registration or use of interactive features is governed by the Privacy Policy and consent to the handling of this information as described in the Privacy Policy. If Third Party Privacy Policies apply to Tools run locally by you, it is your responsibility to review, understand, and adhere to them.

If you are given or choose a username, password, or other security information for the Websites and Tools, you must keep it confidential and not disclose it to anyone. Your account is personal to you, and you agree not to share access or authorize others to use your credentials or group wallet. You must immediately notify us and our service providers of any unauthorized access to or use of your account or credentials. Exercise caution when accessing your account from public or shared computers to protect your personal information.

We and our service providers reserve the right to disable any username, password, or other identifiers related to the Websites or Tools at our discretion, for any reason, including if you violate these Terms of Use.

Be aware that your content may be transferred unencrypted and involve (a) transmissions over various networks and (b) adjustments to meet technical requirements of connecting networks or devices.

Intellectual Property Rights

The Services and their entire contents, features, and functionality—including all information, code, software, text, displays, images, video, audio, and their design, selection, and arrangement—are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You do not acquire any right, title, or interest in the Websites or any content available on or through the Websites or Tools, and all rights not expressly granted are reserved by the Company or the relevant third-party owner or licensor.

Trademarks

The name of the Company, the terms “PECU” and “Pecu Novus,” along with all related names, logos, product and service names, designs, and slogans, are trademarks of Pecu Novus or its licensors. You may not use these trademarks without obtaining prior written consent from Pecu Novus. All other names, logos, product and service names, designs, and slogans appearing on the Services are trademarks of their respective owners.

Prohibited Uses

You may only use the Websites and Tools in a lawful, ethical manner and in accordance with these Terms of Use. Specifically, you agree not to:

• Violate any applicable federal, state, local, or international laws or regulations, including those related to the export of data or software.

• Exploit, harm, or attempt to exploit or harm minors by exposing them to inappropriate content or soliciting personally identifiable information.

• Send, receive, upload, download, or use any material that does not comply with the Content Standards outlined in these Terms of Use.

• Transmit or solicit any advertising or promotional material, including “junk mail,” “chain letters,” “spam,” or similar solicitations.

• Impersonate Pecu Novus, its employees, other users, or any other person or entity, including using email addresses or usernames associated with them.

• Engage in conduct that restricts or inhibits others’ use or enjoyment of the Services, or which may harm Company or users, or expose them to liability.

Additionally, you agree not to:

• Use any automated devices, processes, or means, such as robots or spiders, to access or copy material from the Websites or Tools.

• Use manual processes to monitor or copy material from the Websites or Tools without our prior written consent.

• Employ any device, software, or routine that interferes with the proper functioning of the Websites or Tools.

• Introduce viruses, Trojan horses, worms, logic bombs, or other harmful or malicious material.

• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Websites or Tools, or the servers hosting them.

• Copy, mirror, or replicate the Websites or Tools, except as permitted under any applicable license.

• Launch a denial-of-service attack or distribute a denial-of-service attack against the Websites or Tools.

• Otherwise interfere with the proper operation of the Websites or Tools.

• Use the Websites or Tools in any way that could disable, overburden, damage, or impair them, or interfere with others’ ability to engage in real-time activities.

Wallet; Exchange and Sale of Digital Assets

The Services available through the Websites or run locally may allow you to create or connect a digital wallet to your account, and to hold, transfer, or interact with digital assets. Please note that we do not hold, custody, or have access to your assets or funds. We do not operate or provide the Tools. It is your responsibility to maintain control over your digital assets on the Services, including those run locally, and to manage their trading or sale. Transactions involving digital assets are final and cannot be canceled or recalled once they are initiated and recorded in your digital wallet.

We and our service providers are not responsible for managing or safeguarding the keys to your digital assets or your seed phrase, nor for any loss or disclosure of these credentials. You are responsible for keeping your credentials secure at all times. Any loss resulting from the loss of control, disclosure, or unauthorized use of your digital keys is your responsibility. You agree to indemnify and hold us harmless from any claims or losses arising from the loss or misuse of your digital keys or seed phrase. Please keep your seed phrase and digital keys secure, as we and our service providers do not have access to them. Losing these credentials may result in the loss of access to your assets.

Furthermore, neither we nor our service providers act as financial advisors or offer investment advice regarding the assets you choose to hold or trade. You are solely responsible for the contents of your wallet, your purchase decisions, and all aspects of trading digital assets. This includes understanding crypto assets, their values, and the associated risks, as well as the potential limitations of the wallet you use on the Services, which may not support all virtual currencies or assets.

We and our service providers reserve the right to suspend or cancel your use of the Websites or Tools at any time, including if we believe you are engaging in fraudulent activity, if required by law, or if you violate these Terms of Use. While we may notify you of such suspension or cancellation, we are not obligated to do so.

Taxes and Fraud

Depending on your place of residence, you may be required to pay taxes on any earnings from selling digital assets, such as cryptocurrencies or non-fungible tokens. It is your responsibility to properly account for, report to the relevant tax authorities, and pay all applicable taxes. We and our service providers are not responsible for reporting, collecting, or disbursing any taxes on your behalf. You are solely responsible for any taxes owed, and you agree to hold us and our service providers harmless from any claims, losses, damages, or demands related to taxes resulting from your use of the Websites and Tools.

If we suspect or believe that you have been involved in fraudulent transactions, we reserve the right to take appropriate actions, which may include reporting your information and details of the suspected fraudulent transactions to law enforcement agencies. Such actions could lead to civil or criminal penalties or other legal consequences against you.

Risks

If you use any Services related to digital assets, including those run locally, you acknowledge that digital assets are inherently volatile and carry risks influenced by factors beyond our or your control. You are solely responsible for all transactions and associated fees related to your acquisition or sale of digital assets through the Services, including those you run locally. The Websites and Tools do not control transaction timing or other features of the Services, and you understand that the timing of a transaction can impact the asset’s value or transaction fees. You agree to hold us and our service providers harmless from any claims arising from transactions or timing related to digital assets.

Digital assets are not recognized as legal tender and are not supported by any government. They do not benefit from protections such as those provided by the Federal Deposit Insurance Corporation or Securities Investor Protection Corporation. We are not a bank, and neither we nor our service providers have any fiduciary duty to you. We make no guarantees regarding the functionality of any digital asset network you access through the Services, including those run locally, which could result in delays, conflicts of interest, or operational decisions unfavorable to you. We are not liable for any losses you incur as a result of using the Services or related third-party services, networks, or protocols. Transfers initiated via your wallet on the Services, including those run locally, may not successfully transfer ownership of digital assets.

You understand that the Websites and Tools might have bugs or security vulnerabilities, and you accept this risk. You agree to hold us and our service providers harmless from any losses resulting from your use of the Websites or Services, including those run locally, which you use at your own risk.

If you use any Services related to digital assets, including locally, be aware that digital assets and wallet usage are susceptible to expropriation and theft. Malicious actors may attempt to interfere with the Websites or Services using methods like malware, denial-of-service attacks, Sybil attacks, or spoofing. Additionally, because the Websites and Services rely on open-source software, there could be intentional or unintentional bugs or weaknesses affecting the Websites or Services, potentially leading to the loss of your digital assets or control over your wallet. You agree to hold us and our service providers harmless from any losses due to such issues.

We do not guarantee uninterrupted availability of the Websites or Services. Information on the Websites and Tools may not always be accurate, complete, or up-to-date and may be changed without notice. You should verify all information before relying on it. All decisions based on information from the Websites and Tools are your responsibility, and you agree to hold us and our service providers harmless from any resulting losses.

Certain Services, including those run locally, may provide access to third-party materials. We do not control or guarantee the accuracy, completeness, legality, or usefulness of these materials or any linked third-party websites. User Contributions

These Interactive Services enable users to post, submit, publish, display, or transmit content or materials to other users or third parties (collectively, “User Contributions”). All User Contributions must adhere to the Content Standards outlined in these Terms of Use.

You acknowledge that you are solely responsible for any User Contributions you submit or contribute. This includes full responsibility for the legality, reliability, accuracy, and appropriateness of such content.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or other users of the Services.

Monitoring and Enforcement; Termination

We and our service providers reserve the right to:

• Remove or block any User Contributions at our sole discretion, with or without cause, to the extent possible.

• Involve commercial activities or sales, including contests, sweepstakes, other sales promotions, barter, or advertising.

• Give the impression that they originate from or are endorsed by us or any other person or entity if this is not the case.

Copyright Infringement

If you believe that any User Contributions infringe your copyright, please refer to our Copyright Policy below for instructions on how to submit a notice of copyright infringement. We have a policy of terminating the accounts of repeat infringers, where such accounts are under our control.

Please note that, due to the decentralized nature of the Tools and the immutable characteristics of blockchain technology, we may not be able to remove content posted or accessible through the Tools.

Reporting Claims of Copyright Infringement

We take copyright infringement claims seriously and will respond to notices that comply with applicable law. If you believe any materials accessible on the Websites or Tools infringe your copyright, you can request their removal by submitting a written notification to our Copyright Agent (details below). THIS INCLUDES, BUT IS NOT LIMITED TO, ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, SUCH AS PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, PROFITS, BUSINESS, ANTICIPATED SAVINGS, USE, GOODWILL, OR DATA, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF SUCH DAMAGES WERE FORESEEABLE. YOU AGREE TO HOLD US AND OUR SERVICE PROVIDERS HARMLESS FROM ANY LOSSES ARISING FROM YOUR USE OF THE WEBSITES AND THE TOOLS, INCLUDING IF YOU CHOOSE TO RUN ANY SERVICES LOCALLY. THIS INCLUDES, BUT IS NOT LIMITED TO, GAS FEES FOR FAILED TRANSACTIONS, EXCESSIVE GAS FEES DUE TO SERVICE OR SMART CONTRACT BUGS, AND LOSS OF CRYPTO ASSETS OR GOODS RESULTING FROM SUCH BUGS.

THIS LIMITATION DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Governing Law and Jurisdiction

All matters related to the Websites, the Tools, and these Terms of Use, including any disputes or claims (whether contractual or non-contractual), shall be governed by and interpreted in accordance with the laws of the Cayman Islands.

Any legal action or proceeding arising from or related to the Websites, the Tools, or these Terms of Use shall be brought exclusively in the courts of the Cayman Islands. However, we reserve the right to initiate legal action against you for breach of these Terms of Use in your country of residence or any other relevant jurisdiction.

You hereby waive any objections to the jurisdiction and venue of such courts.

Arbitration

At our sole discretion or that of our service providers, we or they may require that any disputes arising under these Terms of Use, or related to your use of the Websites or the Tools—including those concerning their interpretation, violation, invalidity, non-performance, or termination—be resolved through final and binding arbitration. Such arbitration will be conducted in accordance with the Rules of Arbitration of the American Arbitration Association.

Any dispute, controversy, or claim arising out of or related to these Terms, the Websites, or the Tools—including any claims regarding breach, termination, or validity of these Terms—shall be finally resolved by arbitration. The arbitral tribunal will have the authority to rule on any challenges to its jurisdiction or the validity of any part of the arbitration agreement. The arbitration will proceed solely on an individual basis, and class arbitration or any claims brought as a representative or class member are not permitted. The tribunal will not consolidate claims from multiple parties or oversee any form of representative or class arbitration proceedings.

Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or related to these Terms of Use, the Websites, or the Tools must be initiated within one (1) year after the cause of action arises. Failure to do so will permanently bar any such cause of action or claim.

Waiver and Severability

No waiver by us of any term or condition of these Terms of Use shall be considered a further or continuing waiver of that term or condition or a waiver of any other term or condition. Our failure to assert any right or provision under these Terms of Use does not constitute a waiver of such right or provision.

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court or other competent authority, that provision will be modified or removed to the minimum extent necessary. The remaining provisions of these Terms of Use will continue in full force and effect.
